DISTANCE SALES AND USER AGREEMENT

1. PARTIES

This Distance Sales and User Agreement (“Agreement”) is entered into between:

Seller / Service Provider: SparkGen
Brand: SparkGen

and

Buyer / User: Any individual or legal entity who registers on the Platform and/or purchases Services.

2. SUBJECT OF THE AGREEMENT

This Agreement governs the terms and conditions applicable to the purchase and use of digital educational content, subscription services, digital internship and experience programs, certificate programs, and other digital services offered through the SparkGen platform.

3. DESCRIPTION OF SERVICES

SparkGen may provide the following Services:

  • Digital educational content
  • Digital internship and experience programs
  • Career development programs
  • AI-powered feedback and recommendations
  • Verifiable digital certificates
  • Subscription-based access to digital content and programs

SparkGen reserves the right to update, modify, replace, or remove Services and content when reasonably necessary.

3.1. Important Notice Regarding Digital Internship and Experience Programs

SparkGen’s digital internship and experience programs are designed to provide practical, educational, and career-development experiences through real-world projects and structured digital programs.

These programs:

  • Do not automatically satisfy mandatory internship requirements imposed by a university, school, employer, or other institution.
  • Do not constitute or replace an official or legally required internship unless expressly recognized by the relevant institution.
  • Do not create an employment or internship relationship between the User and any participating company.
  • Do not guarantee employment, an internship offer, an interview, or any other career opportunity.

By registering for or purchasing a program, the User acknowledges and accepts these conditions.

4. SUBSCRIPTIONS, TRIALS, AND PAYMENT TERMS

4.1. Subscription Plans

SparkGen may offer the following access models:

1-Month Subscription:
Billed automatically on a monthly basis. The User may cancel automatic renewal at any time. After cancellation, access remains available until the end of the current billing period, and no further charge will be made for the following period.

3-Month Access:
Charged as a one-time payment. No automatic renewal applies.

6-Month Access:
Charged as a one-time payment. No automatic renewal applies.

4.2. Free Trial

Where offered:

  • A 7-day free trial may be available to Users who have not previously used a SparkGen Select subscription.
  • A TRY 0.10 (10 kuruş) verification charge may be collected when activating the trial for card verification purposes. This verification charge is non-refundable.
  • During the trial period, the User may receive full access to eligible premium content.
  • If automatic renewal is not cancelled before the trial ends, the applicable fee will be automatically charged according to the selected plan.

For applicable plans:

  • 1-Month Plan: The monthly fee will continue to be charged automatically for each renewal period.
  • 3-Month Plan: The applicable three-month fee will be charged as a one-time payment, with no subsequent automatic renewal.
  • 6-Month Plan: The applicable six-month fee will be charged as a one-time payment, with no subsequent automatic renewal.

The User may cancel automatic renewal at any time during the trial period. If cancelled before the trial ends, no subscription fee will be charged and access will end when the trial period expires.

4.3. Automatic Renewal

For monthly subscriptions, automatic renewal will continue until the User cancels it through the available subscription management options.

For trial offers that convert into paid plans, the applicable fee will be charged automatically at the end of the trial period unless automatic renewal has been cancelled beforehand.

Users may manage or cancel automatic renewal through the Subscription Management section of their account.

Cancelling automatic renewal does not normally terminate access immediately. The User will retain access until the end of the applicable current period.

4.4. Failed Payments

If an automatic renewal payment cannot be successfully processed, SparkGen or its payment provider may retry the payment for up to 10 days.

If payment remains unsuccessful after the applicable retry period, the subscription may be suspended or terminated.

The User may start a new subscription at any time, subject to the available plans and applicable conditions.

5. DELIVERY AND ACCESS

SparkGen provides digital Services only.

Following successful payment confirmation, purchased digital Services are generally activated and made available through the User’s SparkGen account.

No physical products are shipped.

In the event of a technical or system-related delay, access may take up to 7 days to be provided.

6. RIGHT OF WITHDRAWAL

To the extent permitted under applicable consumer protection and distance sales legislation, the statutory right of withdrawal may not apply to digital content or digital services once the User has expressly requested or consented to immediate access or performance and has acknowledged the applicable legal consequences.

The User may be required to provide the relevant consent and acknowledgement during the purchase process.

Nothing in this Agreement is intended to waive or restrict any mandatory consumer rights that cannot legally be excluded.

7. REFUNDS AND CANCELLATIONS

  • Digital Services are generally non-refundable once access has commenced, except where a refund is required by applicable law or expressly approved by SparkGen.
  • The TRY 0.10 card verification charge is non-refundable, where legally permitted.
  • If a significant technical failure prevents the User from receiving a purchased Service, SparkGen may, following review, provide an equivalent access extension, partial refund, or full refund where appropriate.
  • Subscription cancellations should be made before the next billing date.
  • Cancelling a subscription does not normally result in a refund of fees already paid for the current billing period, except where required by applicable law.

8. USER OBLIGATIONS

The User agrees to:

  • Maintain the security and confidentiality of their account credentials
  • Not share paid Services or account access with third parties
  • Use the Platform only for lawful purposes
  • Provide accurate information when registering or purchasing Services
  • Take responsibility for content uploaded or submitted through the Platform
  • Comply with these Terms and any applicable program-specific rules

9. SUSPENSION AND TERMINATION

SparkGen may suspend, restrict, or terminate a User’s account where reasonably necessary, including in cases of:

  • Violation of this Agreement or other applicable terms
  • Fraudulent or abusive use of the Platform
  • Attempts to manipulate or disrupt the Services
  • Unauthorized access or account sharing
  • Illegal activities

Where appropriate and legally required, SparkGen may provide notice before taking such action.

10. CERTIFICATES AND PROGRAM CONTENT

SparkGen certificates confirm that a User has completed the applicable program or met the relevant completion requirements.

Certificates:

  • Do not guarantee employment or an internship
  • Do not guarantee acceptance by an employer, university, or other institution
  • Do not automatically constitute proof of a legally recognized internship
  • May include verification features such as QR codes or verification links

Educational content, assessments, and programs are provided for learning, professional development, and career exploration purposes and do not guarantee any specific career outcome.

11. INTELLECTUAL PROPERTY

All content available through the SparkGen Platform, including text, graphics, designs, software, videos, educational materials, program structures, simulations, trademarks, logos, and other materials, is owned by SparkGen or used under appropriate licenses.

Unless expressly authorized by SparkGen or permitted by applicable law, such materials may not be copied, reproduced, distributed, modified, publicly displayed, sold, or commercially exploited.

12. THIRD-PARTY SERVICES

SparkGen may rely on third-party providers for services including payment processing, hosting, analytics, communications, artificial intelligence, authentication, and other technical infrastructure.

SparkGen is not responsible for interruptions or failures caused exclusively by third-party services that are outside SparkGen’s reasonable control.

Third-party services may also be subject to their own terms and privacy policies.

13. TECHNICAL INTERRUPTIONS AND ACCESS

SparkGen may temporarily suspend access to the Platform or certain Services for maintenance, security, technical upgrades, or other legitimate operational reasons.

Where a significant system issue materially affects a User’s purchased access, SparkGen may provide an equivalent access extension or another appropriate remedy, where applicable.

14. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, SparkGen’s liability arising directly from a purchased Service shall be limited to the total amount actually paid by the User for the relevant Service.

Nothing in this Agreement excludes or limits liability that cannot legally be excluded or limited under applicable law.

15. PERSONAL DATA

Personal data is processed in accordance with applicable data protection and privacy legislation, including the Turkish Personal Data Protection Law (KVKK) where applicable.

16. CHANGES TO THIS AGREEMENT

SparkGen may update this Agreement and modify its Services when reasonably necessary.

Where required by applicable law, material changes will be communicated to Users through the Platform or other appropriate channels.

The updated version will become effective on the date specified in the revised Agreement.

17. GOVERNING LAW AND DISPUTE RESOLUTION

This Agreement shall be governed by the laws of the Republic of Türkiye, to the extent applicable.

Consumer disputes shall be handled by the competent Consumer Arbitration Committees and Consumer Courts in accordance with applicable Turkish consumer protection legislation.

Mandatory consumer rights applicable to the User’s place of residence shall remain unaffected where required by law.

18. ACCEPTANCE AND EFFECTIVE DATE

By selecting the checkbox stating “I have read and agree to the Terms and Conditions” during the registration or payment process, the User confirms that they have read, understood, and accepted this Agreement.

This Agreement becomes effective upon the User’s acceptance and, where applicable, completion of the relevant purchase transaction.
